Corporate Name Change: A Return to Our Roots to Celebrate 300 Years of Excellence

Today, April 1, 2025, the Extraordinary Shareholders’ Meeting of SOLARI DI UDINE S.p.A. was held to resolve on the company’s name change. The meeting unanimously approved the new company name:
“SOLARI SPA – Premiata Fabbrica Orologi fondata nel 1725 – Pesariis (Udine)”, with the abbreviated form: “SOLARI S.p.A.

During the meeting, the Chairman highlighted the profound meaning of this decision, which marks the thirtieth anniversary of the acquisition of SOLARI DI UDINE S.p.A. under Extraordinary Administration in 1995 and the subsequent reunification with the historic Fratelli Solari S.p.A., founded in Pesariis (Udine) in 1725.

In his remarks, the Chairman retraced the key stages of the company’s history, recalling how the separation between the two entities – SOLARI DI UDINE and Fratelli Solari of Pesariis – originated from internal disagreements among members of the Solari family in 1940. This division gave rise to two parallel entities: on one side, the traditional tower clock manufacturer, which later evolved into railway control and signaling systems; on the other, the newly formed “Fabbrica Orologeria Industriale S.n.c. – Remigio Solari & C.”, established on November 26, 1947.

This second company quickly distinguished itself for its technological innovation, introducing groundbreaking solutions such as the punch card time recorder (presented at the 1947 Milan Fair) and, most notably, the direct-reading clock conceived by Remigio Solari. This revolutionary invention replaced the traditional clock face with two split-flap windows – a concept that transformed how time is read worldwide.

In 1963, the two companies reached an agreement on the use of the “Solari” name, whereby the newly formed company was permitted to use it only with the addition of “Udine” to prevent market confusion.

The meeting also recalled the pivotal moment in 1993 when Solari Udine entered extraordinary administration, followed by the intervention of the Friuli Venezia Giulia Region. With the support of Friulia, this facilitated the company’s recovery and ensured its continuity.

Finally, the Chairman emphasized the symbolic value of today’s resolution: a return to the company’s origins that formally reunites the two historical branches of Solari and marks a milestone in its 300-year industrial journey.

With the approved change, Article 1 of the company bylaws now reads:
Art. 1 – Company Name

    “SOLARI SPA – Premiata Fabbrica Orologi fondata nel 1725 – Pesariis (Udine)”
    abbreviated as: “SOLARI S.p.A.”
